Sale of Avril Group assets – a Successful Closing in the Agro-Industry

We are delighted to announce the successful closing of a significant transaction by our team, comprised of Ana Marić, Čedomir Jelesijević, and Rastko Mališić. We had the privilege of advising Sanders SH, a Serbian subsidiary of the esteemed Avril Group, on the sale of an industrial complex in Temerin to a subsidiary of Sano Group in Serbia.

Avril Group is recognized as one of the world’s leading producers in the agro-industry and sustainable solutions, operating in nearly 20 countries with a workforce of approximately 7,200 employees. Sano Group, operating across more than 35 countries and employing nearly 2,000 people, excels in providing animal nutrition solutions throughout the region.

This transaction involved the transfer of key industrial assets and specialized equipment, representing a strategic advancement for both companies.

Our team adeptly navigated complex legal considerations, negotiated a comprehensive Share Purchase Agreement (SPA) and several related documents. We collaborated closely with the buyer’s advisors to secure merger clearance from the Serbian Competition Commission, effectively resolving all complexities to ensure a seamless outcome.
