Successfully Navigating a Client Through a Complex Corporate-Related Dispute
Background
MMD Advokati represented a Swiss-based company in a high-stakes legal dispute against its Serbian partner, a co-investor in a significant real estate project. The joint venture (JV) had been established with the aim of developing a large-scale property project, but a series of actions by the Serbian co-investor threatened the integrity of the JV and its long-term success.
As the project progressed, our client, the Swiss company, noticed a series of concerning actions by the Serbian co-investor, which appeared to be undertaken for personal gain and to the detriment of the JV. These actions were suspected to involve significant breaches of fiduciary duties, including the misuse of the co-investor’s position as a General Manager (GM) of the JV.
The Challenge
Our team faced a complex legal situation, as the co-investor (defendant) was engaging in actions as a private individual that directly affected the JV’s interests. The key challenge in this case was to demonstrate that the defendant had used his position within the JV—specifically, his role as a co-investor and GM—to unlawfully benefit from the project. The focus was on proving that certain agreements, which the defendant concluded in his private capacity, could not have been made without the knowledge he had gained through his role in the JV.
The core legal issues involved:
- Conflict of Interest: The defendant, as both a co-investor and GM, had a fiduciary duty to avoid any actions that would result in personal benefit.
- Duty of Loyalty: The defendant was bound by the duty to act in the best interests of the JV, with a clear obligation to prioritize the JV’s interests over his own. Any actions taken outside of this framework were in violation of his duty to the JV.
- Breach of Fiduciary Duty: The defendant’s actions appeared to be a clear breach of his obligations to the JV, specifically his duty to act with loyalty and integrity.
Our Strategy
To successfully represent our client, we needed to gather compelling evidence and build a solid case that would prove the defendant’s misconduct. The primary objective was to show that the defendant’s private transactions were directly tied to his position within the JV and that they would not have been possible without his inside knowledge and access to confidential information.
Key steps in our strategy included:
- Documenting the Misuse of Position: We conducted a thorough investigation of the defendant’s actions and uncovered critical documents, communications, and agreements that illustrated his attempts to benefit personally at the JV’s expense.
- Proving the Conflict of Interest: We demonstrated that the defendant’s actions were in direct violation of his fiduciary duties, specifically his duty to avoid conflicts of interest and act in good faith.
- Witness Testimonies: We proposed several witnesses who testified about the breach of duties that took place in the JV.
Our legal team meticulously argued that the defendant’s actions, which were taken in his personal capacity, could only have occurred because of his role and access to privileged information as a co-investor and GM of the JV. This was a critical element in proving that the agreements made by the defendant were invalid and should be reversed.
Outcome
After a prolonged and intense legal battle, the court ruled in favor of our client, the Swiss company. The judge concluded that the Serbian co-investor had indeed breached his fiduciary duties, and his actions were directly detrimental to the JV. The court ordered that all benefits unlawfully gained by the co-investor throughout the project’s development be transferred to our client.
This victory was significant not only because it secured our client’s financial interests but also because it reinforced the principles of corporate governance and fiduciary responsibility within joint ventures. The case set a strong precedent for addressing conflicts of interest and breaches of fiduciary duties in complex commercial disputes, especially in cross-border investments.
Lessons Learned
This case highlights the importance of vigilance and proactive legal measures when dealing with joint ventures and partnerships. It also underscores the necessity of holding parties accountable for their actions when they misuse their position for personal gain. From a legal perspective, it serves as a reminder of the crucial role that corporate duties—such as loyalty, transparency, and the avoidance of conflicts of interest—play in protecting the integrity of joint ventures.
For our client, this successful outcome has strengthened their position in the real estate market and provided clarity on their future dealings. The case also reinforced the value of thorough investigation and strategic legal planning in complex corporate disputes.
